THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES (“U.S.”), THE DISTRICT OF COLUMBIA (“D.C.”), AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT A PERMANENT LEGAL RESIDENT OF ONE OF THOSE AREAS. INTERNET ACCESS IS REQUIRED.

EACH WINNER (AND ANY MINOR WINNER’S PARENT OR LEGAL GUARDIAN FOR HIMSELF OR HERSELF AND ON BEHALF OF THE MINOR) MAY BE REQUIRED TO EXECUTE AND RETURN A PRIZE ACCEPTANCE AGREEMENT AS MORE FULLY DETAILED BELOW.

1. Eligibility: The “SONY Make.Believe” Sweepstakes (“Sweepstakes”) is open only to permanent legal residents of the fifty (50) states of the U.S. and D.C., who are physically located and residing therein, and who are sixteen (16) years of age or older as of January 25, 2010. Employees, officers, directors, members and managers of Sony Pictures Television Inc. (“Sponsor”), The Concept Studio, LLC (“Sweepstakes Administrator”), their advertising or promotion agencies, those involved in the production, development, implementation or handling of this Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, subsidiaries, and affiliates, the Sweepstakes prize suppliers, any other person or entity associated with this Sweepstakes (collectively, with Sponsor and Sweepstakes Administrator, the “Sweepstakes Entities”), members of their immediate families (spouses, children, siblings, parents, legal guardians), and persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes. If an entrant is deemed to be a minor under the laws of the jurisdiction of his or her residence (“Minor”), he or she must have his or her parent’s or legal guardian’s permission to enter before entering the Sweepstakes. If a verified winner is a Minor, the prize may be awarded in the name of the winner’s parent or legal guardian in Sponsor’s sole discretion. Opting in to receive communications, if offered, does not improve one’s chances of winning any prize.

2. How To Enter: This Sweepstakes begins at 12:00:00 a.m. Eastern Time (“ET”) on February 24, 2010, and ends at 11:59:59 p.m. ET on April 9, 2010 (“Sweepstakes Period”). The Sweepstakes Period consists of three (3) different entry periods, as follows (each an “Entry Period”):

Each Entry Period begins at 12:00:00 a.m. ET on the applicable start date and ends at 11:59:59 p.m. ET on the applicable end date. Limit one (1) Sweepstakes prize per person and email address. Entries are limited to the number of Make.Believe videos hosted on the Web Site as described below.

Navigate to http://www.crackle.com/ or http://www.fearnet.com and click on any of the promotional links that will navigate to the hosted Make.Believe videos website (“Web Site”). Follow the on-screen links and instructions to view one or more of the posted Make.Believe videos. Once viewed, follow the on-screen links and instructions to complete and submit the Sweepstakes entry form (“Entry”). Entrants need not view more than one (1) video to enter. Viewing more than one (1) video without completing and submitting an Entry does not increase your chances of winning. All entries must be received by the Sweepstakes Administrator during the Sweepstakes Period. All required Entry information must be completed in full. The Web Site’s clock is the official clock for the Sweepstakes. For purposes of this Sweepstakes, an Entry is “received” when the Web Site’s servers record the Entry information. Proof of submitting a Sweepstakes Entry (such as an automated computer receipt confirming entry or “thanks for entering” screen or message) will not be deemed by Sponsor as proof of actual receipt of an Entry for purposes of the Sweepstakes. Any attempted form of entry into this Sweepstakes other than as described herein is void. Those who do not abide by these Official Rules and all of Sponsor’s instructions will be disqualified.

3. Odds of Winning. Odds of winning a prize depend on the total number of eligible Sweepstakes Entries received during each Entry Period.

4. Prizes. Three (3) grand prize packages (each a “Grand Prize”) will be awarded. The one (1) winner selected from each Entry Period, subject to verification, may choose one (1) Grand Prize package from the following:

(1) A “Behind The Camera” Grand Prize: A trip for winner and one (1) guest to Los Angeles, CA (“L.A.”) on Sponsor-selected dates to attend a Sony Pictures Red Carpet Movie Premiere (the “Premiere Event”). Prize consists solely of: Round-trip coach air transportation for winner and one (1) guest between an airport in or near L.A. and a major airport near the winner’s home (airports chosen in Sponsor’s sole discretion); two (2) nights hotel accommodations (one room – double occupancy); ground transportation in L.A. between the airport and hotel upon arrival and departure and between the hotel and the Premiere Event; and two (2) Red Carpet Movie Premiere Passes to Sponsor-selected Premiere Event. Winner and guest must travel on designated days to coincide with the Premiere Event, which will be determined in Sponsor’s sole discretion. Details of the trip and Premiere Event will be provided by the Sponsor a reasonable time prior to travel. The winner is advised to arrive at least one (1) hour prior to Premiere Event start time. Tickets to and attendance at the Premiere Event are subject to the prize providers’ and event producer’s terms, limitations and restrictions, including, without limitation, the following: (i) Theater will be overbooked to ensure a full house; (ii) Not all ticket holders will be admitted; (iii) Seating is on a first-come, first served basis; and (iv) No one will be admitted without a ticket or after the premiere begins. If, for whatever reason, the Premiere Event is cancelled or rescheduled after the tickets are ticketed, no compensation will be paid in lieu of any cancelled or rescheduled showing of the film. Unused tickets cannot be refunded or exchanged. No responsibility is assumed by the Sweepstakes Entities for rescheduling, delay, postponement or cancellation of the Premiere Event, in whole or in part. In the event of rescheduling or postponement of the Premiere Event, trip may (in Sponsor’s sole discretion) be rescheduled and the winner must travel at the new times and dates determined in Sponsor’s sole discretion or forfeit prize. Grand Prize details, including, but not limited to, Premiere Event movie selection, are in the sole discretion of Sponsor. Winner also will receive one (1) of each of the following: Sony 240 GB HD HandyCam – Model HDR-XR520V; a Sony X Series Signature Collection X Notebook Model VPCX115KX/N; Movie Studio 9 Platinum Pro Pack including Digital Movie Editing Software. Approximate retail Value (“ARV”) of this Grand Prize: $6816 US.

(2) An “On The Mic” Grand Prize: A trip for winner and one (1) guest to a Sponsor-selected artist concert (the “Music Event”). Prize consists solely of: Round-trip coach air transportation for winner and one (1) guest between a major airport near the Music Event location and a major airport near the winner’s home (airports chosen in Sponsor’s sole discretion); two (2) nights hotel accommodations (one room – double occupancy); ground transportation in the Music Event area between the airport and hotel upon arrival and departure and between the hotel and the Music Event; and two (2) tickets to the Music Event. Winner and guest must travel on designated days to coincide with the Music Event, which will be determined in Sponsor’s sole discretion. Details of the trip and Music Event will be provided by the Sponsor a reasonable time prior to travel. Tickets to and attendance at the Music Event are subject to the prize providers’ and event producer’s terms, limitations and restrictions. If, for whatever reason, the Music Event is cancelled or rescheduled after the tickets are ticketed, no compensation will be paid in lieu of any cancelled or rescheduled event. Unused tickets cannot be refunded or exchanged. No responsibility is assumed by the Sweepstakes Entities for rescheduling, delay, postponement or cancellation of the Music Event, in whole or in part. In the event of the rescheduling or postponement of the Music Event, trip may (in Sponsor’s sole discretion) be rescheduled and the winner must travel at the new times and dates determined in Sponsor’s sole discretion or forfeit the prize. Grand Prize details, including, but not limited to, Music Event selection, are in the sole discretion of Sponsor. Winner also will receive one (1) of each of the following: Sony 32 GB X Series MP3 Player – Model No. NWZ-X1061FBSMP; Stereo Headphones – Model No. SA-5000; A Sony Series Signature collection X Notebook – Model No. VPCX115KX/N and an Acid Pro 7 – Digital Music Editing Software package. ARV of this Grand Prize: $6420 US.

(3) A “Play The Game” Grand Prize: A trip for winner and one (1) guest to L.A. to attend the E3 Expo 2010, which is currently scheduled to take place from June 15, 2010 through June 17, 2010 (the “Expo Event”). Prize consists solely of: Round-trip coach air transportation for winner and one (1) guest between an airport near or in L.A. and a major airport near winner’s home (airports chosen in Sponsor’s sole discretion); two (2) nights hotel accommodations (one room – double occupancy); ground transportation in L.A. between the airport and hotel upon arrival and departure and between the hotel and the Expo Event; and two (2) tickets to attend the E3 Expo 2010. Winner and guest must travel on designated days to coincide with the Expo Event, which will be determined in Sponsor’s sole discretion. Details of the trip and Expo Event will be provided by the Sponsor a reasonable time prior to travel. Tickets to and attendance at the Expo Event are subject to the prize providers’ and event producer’s terms, limitations and restrictions. If, for whatever reason, the Expo Event is cancelled or rescheduled after the tickets are ticketed, no compensation will be paid in lieu of any cancelled or rescheduled event. Unused tickets cannot be refunded or exchanged. No responsibility is assumed by the Sweepstakes Entities for rescheduling, delay, postponement or cancellation of the Expo Event, in whole or in part. In the event of the rescheduling or postponement of the Expo Event, trip may (in Sponsor’s sole discretion) be rescheduled and the winner must travel at the new times and dates determined in Sponsor’s sole discretion or forfeit the prize. Grand Prize details are in the sole discretion of Sponsor. Winner also will receive one (1) of each of the following: Sony 40” Bravia NX Television; a Sony PS3 Slim; a Sony PSP Go and a selection of top PS3 Games. ARV of this Grand Prize: $7100 US.

The following applies to all prizes: Each winner must be available to travel from a Sponsor-selected airport near the winner’s residence within the fifty (50) United States or D.C. on Sponsor-selected dates or the prize may be forfeited and an alternate randomly selected winner chosen. Each Grand Prize and element thereof may be subject to additional terms, restrictions, and conditions, including, without limitation, as imposed by any prize provider or event producer, and as stated in the Affidavit/Release (defined below). Each prize winner is solely responsible for all costs not specifically listed above as part of the winner’s prize, including, without limitation, meals, gratuities, in-room charges, travel expenses, travel and other insurance, transfers, and any other costs associated with accepting, redeeming and using the prize. If a winner is a Minor, his or her parent or legal guardian must sign all documents as required by Sponsor, the Sweepstakes Administrator, and the prize providers and must accompany the winner on the trip as the winner’s one (1) guest. Any depictions of a prize are for illustrative purposes and may not be actual prize awarded. No substitution, assignment, transfer or cash equivalent for any prize (or component of a prize), except that Sponsor, at its sole discretion, may substitute a prize or portion thereof with a prize or portion thereof of equal or greater value, whether due to the unavailability of a prizes, or for any other reason. Prizes and prize notifications will be mailed or shipped to the verified winner’s street addresses in the fifty (50) U.S. or D.C. only. The Sweepstakes Administrator is not the supplier or guarantor of any prize. Each winner and his or her travel companion must travel on the same date(s) and on the same itinerary. Actual retail value of the prize may vary depending on the winner’s residence, market conditions, changes in value of components (e.g., air transportation and hotel rates) and other reasons. Sponsor is not responsible for and a winner will not receive the difference between the actual value of the prize at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or materials. In the event a winner lives within close proximity to his or her trip destination (as determined in Sponsor’s sole discretion), Sponsor will substitute airfare with ground transportation, and any difference in value will not be awarded to the winner. Specific travel arrangements and all prize details not specified herein will be made and determined in Sponsor’s sole discretion. Travel must originate from and end at the same airport. It is each winner’s and his/her guest’s sole responsibility to comply with all travel requirements, which may include, without limitation, presenting necessary identification (including photograph) at the time of travel or as otherwise required by Sponsor, or prize may be forfeited. Exact prize dates and locations are subject to change and are at the sole discretion of Sponsor. Specifics of trip prize packages are subject to availability and Sponsor’s sole discretion. Restrictions may apply. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel route and select hotels in its sole discretion. Flight schedules are subject to change without notice. Sponsor is not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay, and no refund or compensation will be provided to winner or guest. Each winner (or a Minor winner’s parent or legal guardian) may be required to provide a credit card at time of hotel check-in to cover hotel incidentals.

Each winner’s guest must be the age of majority in the guest’s state of residence, unless winner is the guest’s parent or legal guardian, in which case he or she must comply with all of Sponsor’s, Sweepstakes Administrator’s and each prize provider’s requirements. Each winner agrees that his or her guest must comply with all of Sponsor’s, Sweepstakes Administrator’s and each prize provider’s procedures and policies and must complete, sign, have notarized and return a release of liability and, where legal, a publicity release without alteration and as instructed within the time frame specified by Sponsor or Sweepstakes Administrator or travel will not be allowed. Once selected by a winner, a guest cannot be changed without the express consent of Sponsor, which may be withheld for any reason.

By entering this Sweepstakes and accepting the prize, each winner agrees to maintain his or her behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Sweepstakes- or prize-related activity, including, without limitation, attending events (if any). Each winner understands and agrees that Sponsor or prize providers have the right, in their sole discretion, to disqualify and remove the winner or his or her guest from any activity at any time without compensation if the winner’s or his or her guest’s behavior at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of Sponsor or otherwise violates the policies of the Sponsor or prize providers, and in such a case, winner will still be solely responsible for all taxes and other expenses related to the prize. Each winner and guest are solely responsible for obtaining any travel insurance (and all other forms of insurance) that they may wish to obtain at their own expense and winner acknowledges that the Sweepstakes Entities have not and will not obtain or provide travel insurance or any other form of insurance. Sweepstakes Entities will not be liable for any loss, theft or damage of baggage, cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables. If a winner becomes disabled or cannot otherwise fully enjoy the trip prize travel package due to illness, Sponsor will have the option of: (1) being relieved of liability for fulfillment of the entire prize; or (2) at Sponsor's sole discretion extending the period during which the trip prize may be awarded for a period equal to the duration of the winner's disability or illness, in which case certain prize components may not be available. The winner must prove such disability by a doctor's certificate, which certificate shall be endorsed by another physician agreeable to Sponsor and trip Prize winner at Sponsor's expense.

All prizes legitimately claimed will be awarded. Sponsor will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. No more than the stated prizes in these Official Rules will be awarded. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the prize.

5. Drawings and Notification of Winners. Three (3) Grand Prize Winners will be selected, each by a random drawing from among all eligible Entries received during an Entry Period. One (1) drawing will be conducted on each of the approximate drawing dates listed in the chart in Section 2 above for the applicable Entry Period. All drawings to be conducted in Westport, Connecticut by the Sweepstakes Administrator, an independent judging organization, whose decisions are final on all aspects of the Sweepstakes. Each potential winner will be notified by phone and/or email (in Sponsor’s sole discretion at the phone number and email address provided on that entrant’s entry form) within approximately one (1) week of the date his or her name was randomly selected. If a potential winner cannot be reached after a reasonable effort has been exerted, he or she is found to be ineligible at any point during the administration of this Sweepstakes, he or she cannot or does not comply with these Official Rules or the Sponsor’s or Sweepstakes Administrator’s instructions, or if his or her prize, prize notification, or other Sweepstakes-related correspondence is faulty, rejected, or returned as undeliverable, that potential winner may be disqualified without notification and an alternate potential winner may be selected at Sponsor’s discretion.

6. General Conditions. All legal responsibilities and rights of a Minor under the Official Rules are assumed and given by the Minor’s parent or legal guardian. Each potential prize winner (and a Minor winner’s parent or legal guardian) may be required to read, execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), tax forms, and any other documentation that the Sweepstakes Administrator or Sponsor may require (collectively “Affidavit/Release”), within seven (7) days from the date the Affidavit/Release is sent to the potential winner or other time frame as specified by Sponsor or Sweepstakes Administrator, without alteration and in the form presented by Sponsor, or such potential winner may be disqualified, and an alternate potential winner (if available) may be selected. The Affidavit/Release may require each winner (and a Minor winner’s parent or legal guardian) to provide his or her Social Security Number and state-issued identification number or copy thereof. The Affidavit/Release is subject to verification by Sponsor. The ARVs of the prizes are based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes as required by law. An IRS Form 1099 may be issued in the name of each winner, or name of a Minor winner’s parent or legal guardian, for the actual value of the prize received. Unclaimed prizes will be forfeited. By returning a completed Affidavit/Release, that winner attests to the provisions stated herein including the accuracy of the information contained therein and compliance with these Official Rules. Notwithstanding anything to the contrary in the applicable privacy policy or policies and except to the extent prohibited by applicable law, as a condition of entry into the Sweepstakes, each winner grants Sponsor and its licensees the irrevocable, sublicensable, absolute right and permission to use, publish, post and display without notice, review, approval, obligation, or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, winner’s name, city, state/province photograph, likeness, voice, prize information, biographical information, any quotes attributable to him or her or any other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in Sponsor’s or its licensee’s sole discretion) for purposes of advertising, trade, promotion and publicity and each winner releases Sponsor and its licensees from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor or its licensees to make use of any of the rights granted herein and each winner waives any right to inspect or approve any such use. Sponsor reserves the right, at its sole discretion, to disqualify any individual Sponsor believes to be attempting to or actually tampering with or impairing the entry process or the operation, administration, security, fairness or proper play of the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes, supplying false information, obtaining entries by fraudulent means or otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize will be ineligible to win a prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes in any way, including, without limitation, by instructing the Sweepstakes Administrator to conduct one (1) or more drawings and award the prizes from all eligible Sweepstakes Entries received prior to and/or after (as appropriate) the action taken by Sponsor, or award the prizes in a manner that is fair and equitable. In case of a dispute over the identity of an entrant, the authorized account holder of the email address submitted at the time of entry will be deemed the entrant, but only if that person meets all other eligibility criteria or is the approving parent or legal guardian of a Minor participant who meets all of the eligibility criteria, otherwise the Entry may be disqualified and any potential prize won will be forfeited in Sponsor’s sole discretion. The “authorized account holder” is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must comply with these Official Rules and, at Sponsor’s discretion, may be required to provide proof of ownership of the email account. If a dispute cannot be resolved to Sponsor’s satisfaction, the Entry will be deemed ineligible. Sponsor’s and Sweepstakes Administrator’s decisions will be final in all matters relating to this Sweepstakes, including interpretation of these Official Rules and awarding of the prizes. Participants agree to not damage or cause interruption of the Sweepstakes and prevent others from using the Sweepstakes. Sponsor’s or Sweepstakes Administrator’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or these Official Rules (including any alleged discrepancy or inconsistency in these Official Rules), it will be resolved in Sponsor’s sole discretion. If Sponsor determines at any time in its sole discretion that a winner or potential winner is disqualified, ineligible, or in violation of these Official Rules, Sponsor reserves the right in its sole discretion to select an alternate winner, even if the disqualified potential winner’s name may have been shown or announced online or elsewhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. As a condition of entering the Sweepstakes, each entrant gives consent for Sponsor and Sweepstakes Administrator to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and complying with applicable laws, regulations and rules. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEB SITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SWEEPSTAKES VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW

7. Disclaimers: Sweepstakes Entities are not responsible or liable for Sweepstakes Entries that are entered by illegitimate means (such as, without limitation, by a computer program, bot, macro or other automated means), in excess of any applicable limit, or for Sweepstakes Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, delayed, defective, or otherwise not in compliance with these Official Rules, and all such Sweepstakes Entries will be disqualified. By entering the Sweepstakes, each entrant agrees and acknowledges to be bound by the Official Rules and all applicable laws, as well as the decisions of the Sponsor and Sweepstakes Administrator which are final and binding in all respects and to waive any rights to claim ambiguity with the Official Rules and any applicable laws. Sweepstakes Entities are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in an email account to receive email messages. Sweepstakes Entities are not responsible, and may disqualify an entrant, if his or her email address, telephone, or other contact information does not work or if it is changed without entrant giving prior written notice to Sponsor. The Sweepstakes Entities will have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the acceptance, possession, defects, use, or misuse of any prize; any lost, late, incomplete, illegible, mutilated, or misdirected entries, e-mail, mail, or Sweepstakes-related correspondence or materials; printing, typographical or other errors in these Official Rules or Sweepstakes promotional material; shipping delays; human error; incorrect or inaccurate transcription of Entry information; any technical malfunctions of the telephone network; interruption or inability to access the Sweepstakes; any lost or delayed data transmissions, omissions, interruptions, defects; or any other errors, failures or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each entrant further agrees to release, indemnify and hold harmless the Sweepstakes Entities and the respective officers, directors, employees, representatives and agents of each from any and all liability whatsoever for injuries or damages of any kind resulting or arising from the Sweepstakes, the use, acceptance, possession, misuse or awarding of a prize, while preparing for, participating in or traveling to or from any prize- or Sweepstakes-related activity, including, without limitation, any injury, damage, death, loss, or accident to person or property. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act of omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act of omission on the part of any other person or entity not an employee of Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of Sponsor or their parents, subsidiaries and affiliated companies. Each winner agrees that his or her prize package is provided as-is without any warranty, representation or guarantee, express or implied, in fact or in law, whether now known or hereinafter enacted, relative to the use or enjoyment of the prize, including, without limitation, its quality, merchantability or fitness for a particular purpose. Further, the Sweepstakes Entities are not responsible in any way for any additional expenses, omissions, delays, or re-routing resulting from any acts of any government or authority. Each winner acknowledges that he or she is solely responsible for any actions, claims or liabilities of his or her guest related to any Sweepstakes-related activity, including, without limitation, any actions, claims or liabilities related to the guest’s use of a prize.

Without limiting any other provision in these Official Rules, the failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (except compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules and Sponsor will not be liable as a result.

8. ARBITRATION / WAIVER OF INJUNCTIVE RELIEF / GOVERNING LAW: BY SUBMITTING A SWEEPSTAKES ENTRY, ENTRANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES, THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION WILL BE SUBMITTED EXCLUSIVELY TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES COUNTY, CALIFORNIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE § 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR WILL BE APPOINTED BY JAMS. THE ARBITRATION MUST BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR MUST BE REQUIRED TO ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEY’S FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW. BY ENTERING THE SWEEPSTAKES, EACH PARTICIPANT EXPRESSLY WAIVES THE RIGHT TO TRIAL BY JURY.

BY PARTICIPATING IN THE SWEEPSTAKES, EACH PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY BE LIMITED TO THE EXTENT REQUIRED BY LAW.

Entrants further understand and agree that they have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Sweepstakes, or any Sony Pictures Television Inc. (or any of its parent and/or related companies, subsidiaries or affiliates) productions, projects or pictures.

Entrants acknowledge that the internal substantive laws (as distinguished from the choice of law rules) of the State of California and the United States of America applicable to contracts made and performed entirely in California govern the validity and interpretation of these Official Rules and all causes of action and disputes (whether sounding in contract or in tort) arising out of or relating to these Official Rules.

Rules/Winner’s List: For a copy of these Official Rules or the Winner’s List, send your specific request with a self-addressed, return postage pre-paid envelope to: “SONY Make.Believe Sweepstakes” Rules/Winner’s List (specify which), P.O. Box 8022, Westport, CT 06888. All Official Rules requests must be received during the Sweepstakes Period and all winner’s list requests must be received by July 7, 2010. Only one (1) request per outer envelope, mailed separately, will be fulfilled. Vermont residents may omit return postage with Official Rules requests.
